2023 Annual Meeting Minutes submitted by Executive Council Secretary, Jan Lowe
Proposed Bylaw Amendments:
The ERA-NC Alliance Board voted to amend two of our bylaws, which will be voted on during our Annual Meeting.
ARTICLE XI – DUES. The change in the Dues bylaw allows for a member to renew or join any time during the year and for their membership to last until the same time next year. The changes to this bylaw reads as follows:
“ARTICLE XI-DUES. Section 1 SCHEDULE. Dues shall be payable annually up to thirty (30) days following the beginning of the Alliance’s fiscal year (January 1) by both Lead Organizations and Individual Members, with each new and renewed membership confirmed by receipt of a dues payment.” Change to, “Dues shall be payable annually within thirty (30) days of submitting duly registered membership form to join by both Lead Organizations and individual Members, with each new and renewed membership confirmed by receipt of a dues payment. All Memberships last for 12 months.”
ARTICLE XII – DISSOLUTION. The change in the Dissolution bylaw is to allow the ERA-NC Alliance, if it disbands, to give our assets to the ERA Coalition or to another organization(s) that are working on ratification or implementation of the ERA. The changes to this bylaw reads as follows:
“ARTICLE XII – DISSOLUTION. Section 1 PROCEDURE. In the event of dissolution of the Alliance, by consensus of the Board of Directors, its assets shall be distributed to the national ERA Coalition. If the ERA Coalition is not in operation, the assets shall be distributed to another organization or organizations, chosen by consensus of the Board of Directors, working on ratification or implementation of the Equal Rights Amendment.”
Change the first sentence to, “In the event of dissolution of the Alliance, by consensus of the Board of Directors, its assets shall be distributed to the national ERA Coalition or to another organization or organizations working on ratification or implementation of the Equal Rights Amendment.” Delete the second sentence.
